CW Coaching: Coaching Agreement 

This Agreement is entered into by and between CW Coaching, LLC a professional coaching practice. The coaching agreement consistitutes a contract between Coach, Christalyn Warner and Client (who purchases a Package) whereby Coach agrees to provide Coaching Services for Client. 

Description of Coaching: Coaching is a partnership (defined as an alliance, not a legal business partnership) between the Coach and the Client in a thought-provoking and creative process that inspires the client to maximize personal and professional potential. It is designed to facilitate the creation/development of personal, professional or business goals and to develop and carry out a strategy/plan for achieving those goals. 

1) Coach-Client Relationship 

A. Coach agrees to maintain the ethics and standards of behavior established by the International Coach Federation “(ICF)” (Coachfederation.org/ethics). It is recommended that the Client review the ICF Code of Ethics and the applicable standards of behavior. 

B. Client is solely responsible for creating and implementing their own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and their coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease. 

C. Client further acknowledges that he/she may terminate or discontinue the coaching relationship at any time. 

D. Client acknowledges that coaching is a comprehensive process that may involve different areas of his or her life, including work, finances, health, relationships, education and recreation. The Client agrees that deciding how to handle these issues, incorporate coaching principles into those areas and implementing choices is exclusively the Client’s responsibility. 

E. Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach. 

F. The Client understands that in order to enhance the coaching relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program. 

2) Services  

The parties agree to engage in an 8 week Coaching Program which will be in the Package and confirmed by email. Coach will be available to Client by email and Whats app chats in between scheduled meetings as defined by the Coach. Coach may also be available for additional time, as outlined in the available packages.  

3) Schedule and Fees  

This coaching agreement is valid as soon as the package booking has been made and will continue to be for future package bookings. The fees will be paid in advance when booking each package. The calls/meetings shall be outlined in the package you have booked. The rates of the package you have already booked will not change. Future packages may be subject to a rate change that you would agree to when booking. 

 

4) Procedure  

The time of the coaching meetings and/or location will be determined by Coach and Client based on the appointment time chosen by the client. The details of the meeting will be found in email and client portal or otherwise specified by the Coach.   

5) Confidentiality 

As a licensed psychotherapist, it is my duty to protect the confidentiality of the communications with my clients, including my coaching clients. The support staff of Christalyn Warner includes individuals who provide administrative support and are trained in the HIPAA requirements for confidentiality. 

 

I, The Coach, will only release information about our work to others

with your written permission or if I am required to do so by a court order. There are some situations in which I am legally obligated by Federal and State laws to breach your confidentiality in order to

protect others from harm, including the following: 

 

(1) If I have information that indicates that a child,

elderly or disabled person is being abused, I must report that to the appropriate state agency; and; (2) If a client is an imminent risk to him/herself or makes threats of imminent violence against another

person, I am required to take protective actions. 

 

These situations rarely occur in coaching practices,

but if such a situation does occur, I will make every effort to discuss it with you before taking any action. Some sessions are conducted in groups, including teleconference groups. You, The Client, agree to

maintain the confidentiality of all information communicated to you by other coaching clients and byyour Coach. It is understandable that progress is often enhanced when clients discuss their coaching

relationship with trusted colleagues and friends. You can have these discussions with trusted colleagues and friends, but you agree not to share any information which would allow others in the group to be identified.

 

The Client should be aware that it is impossible to protect the confidentiality of Client information which may be transmitted electronically, i.e., electronic mail and other information stored on

computers connected to the internet, by cordless or mobile telephones and similar telecommunication and computer equipment. Therefore, it is agreed between The Client and The Coach that unless The

Client utilizes encryption and other forms of security protection, The Client waives any action legal or otherwise against The Coach and holds The Coach harmless for any interception of Client information resulting from the use of the above-mentioned equipment.

 

In addition to being a Coach, I am also a licensed Marriage and Family Therapist in the State of Florida with training and experience in diagnosing and treating emotional and psychological problems. Although there are some similarities between Coaching and psychotherapy, I, as The Coach, will not conduct psychotherapy. Coaching and psychotherapy are different modalities of counseling, and it is important that you as The Client understand the differences between them. Although both Coaching and psychotherapy utilize knowledge of human behavior, motivation, behavioral change, and

interactive counseling techniques, there are major differences in the goals, focus, and level of professional responsibility.

 

This coaching relationship, as well as all information (documented or verbal) that the Client shares with the Coach as part of this relationship, is bound by the principles of confidentiality set forth in the ICF Code of Ethics. However, please be aware that the Coach-Client relationship is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognized privilege. The Coach agrees not to disclose any information pertaining to the Client without the Client’s written consent. The Coach will not disclose the Client’s name as a reference without the Client’s consent. 

Confidential Information does not include information that: (a) was in the Coach’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by the Coach from a third party, without breach of any obligation to the Client; (d) is independently developed by the Coach without use of or reference to the Client’s confidential information; or (e) the Coach is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to the Coach and as a result of such disclosure the Coach reasonably believes there to be an imminent or likely risk of danger or harm to the Client or others; and (g) involves illegal activity. The Client also acknowledges his or her continuing obligation to raise any confidentiality questions or concerns with the Coach in a timely manner. 

I, The Coach, adopt The International Coach Federation’s definition of coaching quoted in part

which is as follows: Professional Coaching is an ongoing professional relationship that helps people

produce extraordinary results in their lives, careers, businesses or organizations.Through the process of coaching, clients deepen their learning, improve their performance, and enhance their quality of life.

In each meeting, the client chooses the focus of conversation, while the coach listens and contributes observations and questions. This interaction creates clarity and moves the client into action. Coaching accelerates the client’s

progress by providing greater focus and awareness of choice. Coaching concentrates on where clients are now and what they are willing to do to get where they want to be in the future. Coaches recognize that results are a matterof the client’s intentions, choices and actions, supported by the coach’s efforts and application of the coaching process.

 

You can expect that I, your Coach, will be honest and direct, asking straightforward questions and using challenging techniques to help you move forward. You are expected to evaluate your own progress; and, if the coaching is not working as you wish, you should immediately inform me, your Coach, so that we can both take steps to correct the problem. As with any human endeavor, coaching can involve feelings of discomfort and frustration which may accompany the process of change. Coaching does not offer any guarantee of success.

 

Psychotherapy, on the other hand, is a health care service. Its primary focus is to identify, diagnose, and treat nervous and mental disorders. The goals include alleviating symptoms, understanding the

underlying personality dynamics which create symptoms, changing the dysfunctional behaviors which are the result of these disorders, and helping patients to cope with their psychological problems. While

psychotherapy may be reimbursable through health insurance policies, Coaching services, at present, are not.

 

It is understood and agreed to by The Client and The Coach that if either of us recognizes that you, The Client, have a problem that would benefit from psychotherapy, I, The Coach, may refer or direct

you to appropriate resources in addition to or in lieu of Coaching.

 

6) Cancellation and Refund Policy

6.1 Client Responsibility for Attendance.
Client agrees and understands that it is the Client's sole responsibility to attend all scheduled coaching sessions on time. If the Client must cancel or reschedule a session, the Client must provide a minimum of twenty-four (24) hours’ notice to the Coach via email, WhatsApp, or iMessage. Any cancellations made within the 24-hour window before a scheduled session, or any no-shows, will be forfeited in full and will not be eligible for rescheduling, refund, or reimbursement, unless otherwise agreed upon in writing by the Coach.

6.2 No Make-Up Sessions.
Coach is under no obligation to reschedule or make up a missed session that was canceled by the Client within the 24-hour window or missed without prior notice. The forfeiture of a session due to late cancellation or non-attendance will count toward the Client’s total program package and is non-refundable.

6.3 Satisfaction and Early Termination.
Client is encouraged to provide ongoing feedback throughout the duration of the coaching relationship. If, for any reason, the Client is not satisfied with the coaching sessions and wishes to terminate the agreement before completing the full 8-week program, the Client may do so by sending a written message via WhatsApp or iMessage to the Coach, clearly stating the request to cancel the remaining sessions.

Upon receipt of this message, Coach will honor the cancellation request and provide a pro-rated refund for the unused sessions remaining in the coaching package, calculated from the date the cancellation notice was received. Sessions already completed or canceled within the 24-hour window will not be reimbursed.

6.4 Final Discretion.
Coach reserves the right to make exceptions to this policy on a case-by-case basis at her sole discretion and in good faith.

 

7) Limited Liability  

Except as expressly provided in this Agreement, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under this Agreement, and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date. 

8) Mutual Nondisclosure 

 

The Coach and The Client mutually recognize that they may discuss The Client’s future plans, business affairs, customer lists, financial information, job information, goals, personal information, and other private information. The Coach will not voluntarily communicate The Client's information to a third party. In order to honor and protect the Coach's intellectual properties, The Client expressly agrees not to disclose or communicate any proprietary information about the Coach's practice, materials, or methods to any third parties. The Coach and The Client agree to be bound by this mutual nondisclosure agreement during and after the termination of the Coaching relationship.

 

9) Entire Agreement  

This document reflects the entire agreement between the Coach and the Client, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both the Coach and the Client. 

10) Dispute Resolution  

If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and Coach agree to attempt to mediate in good faith for up to 30 days after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party. 

11) Severability  

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. 

12) Waiver  

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement. 

13) Applicable Law  

This Agreement shall be governed and construed in accordance with the laws without giving effect to any conflicts of laws provisions. 

14) Binding Effect  

This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
